1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or "Licensee") and Westwood Design Studio, LLC ("we," "us," "our," or "Licensor"). These Terms govern your access to and use of the westwooddesignstudio.com website (the "Site") and the purchase of any digital products or plans. By accessing the Site or purchasing our products, you agree that you have read, understood, and agree to be bound by all of these Terms.

2. Intellectual Property & License to Use

The Concept Plans and Design Development Plans are and shall remain the sole and exclusive property of Westwood Design Studio, LLC. These Plans are protected by United States Copyright Laws and international treaties.

When you purchase and download digital PDF plans from our Site, you are granted a limited, non-exclusive, non-transferable license.

  • Permitted Use: You are licensed to use the purchased plans for the purpose of constructing a single residential structure or outbuilding one time only. You may make reproductions of the Plans solely for this single construction project.

  • Prohibited Use: You may not assign, sublicense, or transfer this License to any third party. You may not reuse the Plans for building any additional structure(s) without purchasing additional licenses. You may not sell, redistribute, or publish the Plans to anyone other than contractors or engineers on a "need to know" basis for your single permitted project.

  • License Termination: This license terminates automatically upon completion and occupancy of the constructed residence, or if the project is abandoned. Upon termination, you must cease all use of the Plans and destroy all copies in your possession.

3. Nature of Plans & Mandatory Professional Review

  • Concept Plans Only: These Plans are CONCEPT PLANS or DESIGN DEVELOPMENT PLANS designed to convey design intent and architectural concepts only. They are NOT construction documents and are NOT intended to be built "as-is".

  • Mandatory Review: Prior to the start of any construction, you must have these Plans thoroughly reviewed, modified as necessary, stamped, and sealed by a licensed architect and/or structural engineer in the jurisdiction where construction will occur. This professional review is mandatory.

  • Incomplete Documentation: These Concept Plans do not include detailed structural engineering drawings, electrical system design, plumbing system design, HVAC design, fire protection drawings, energy code calculations, or site-specific foundation designs.

4. Licensee & Builder Responsibilities

  • Code Compliance: You are solely responsible for ensuring that all work complies with the current editions of all applicable building codes (including IBC, IRC, IECC, NEC, IPC, and IMC) and all local regulations.

  • Site-Specific Adaptation: You acknowledge that these Plans are not tailored to any specific building site and must be adapted to actual site conditions, such as topography, soil conditions, and snow loads.

  • Permits and Approvals: You are responsible for obtaining all required building permits, zoning approvals, and inspections.

  • Licensed Contractors: You must use only properly licensed, bonded, and insured contractors and subcontractors for all work.

5. Disclaimers and Limitations of Liability

  • No Warranties: These concept plans are provided "AS IS" without any warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose. Licensor makes no warranty that these Plans are compliant with any building codes or free from errors.

  • Assumption of Risk: Any use of these Plans, or modifications thereof, is done entirely at your own risk.

  • Limitation of Liability: Westwood Design Studio, LLC shall have no liability whatsoever for any damages, losses, injuries, or claims arising out of the construction or use of any structure built using these Plans. In no event shall Licensor's total aggregate liability exceed the amount actually paid by the Licensee to the Licensor for the Plans.

6. Indemnification

You agree to indemnify, defend, and hold harmless Westwood Design Studio, LLC and its officers, directors, and employees from any claims, damages, liabilities, and expenses (including attorneys' fees) arising out of your use of the Plans, any construction performed using the Plans, any failure to comply with building codes, or any negligent acts by you or your contractors.

7. Digital Products and Refunds

Because our plans are delivered instantly as digital downloads, all sales are final. We do not accept returns, exchanges, or cancellations once a digital file has been purchased and downloaded.

8. Third-Party Services

Our Site is hosted on Squarespace and utilizes third-party services such as Stripe for payment processing and Google Drive for data management. Your use of these third-party integrations is also governed by their respective Terms of Service and Privacy Policies.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio. Any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio.
